General Terms and Conditions of Sale and Delivery

1. Offers and Prices

1.1 Our offers are non-binding, and their validity period is not specifically defined.

1.2 The prices of luminaires generally include LEDs, except for products explicitly marked otherwise.

1.3 Lighting project studies and simulations prepared at the customer's specific request are charged to the customer if they are not followed by a corresponding order (the customer is informed in advance). Consumption diagnostics and optimization offers are exceptions and provided free of charge.

1.4 Purchase terms, modifications to the terms and conditions of sale and delivery, as well as any other agreements, are valid only if they have been accepted in writing or signed by the customer.

2. Shipping

2.1 Smart Lux determines the shipping method and reserves the right to make partial deliveries.

2.2 Deliveries are made at ground level or on a ramp. The customer must provide, at their expense, the necessary personnel for unloading.

2.3 Special shipments, such as postal deliveries, express services, or specialized transports, are the customer's responsibility and will be invoiced separately or directly by the third-party carrier.

2.4 For shipments, the recipient's signature, or that of a staff member or any other person signing on their behalf, serves as confirmation that the delivery is complete and without visible defects.

2.5 The goods are shipped at the recipient's risk. Our guarantees do not cover special transports or those conducted by third parties, only those carried out by our own services.

3. Packaging

3.1 Disposable packaging (cardboard, plastic, and foam) is not charged, while crates, pallets, and frames are loaned to the customer under their custody until returned.

3.2 Crates, pallets, and frames are fully invoiced if not returned within one month.

3.3 The disposal of disposable packaging and related waste is the recipient's responsibility.

4. Orders

4.1 By placing an order, the customer acknowledges and accepts the delivery conditions.

4.2 When the customer places an order, and it is confirmed by Smart Lux, modifications or cancellations are only possible by mutual agreement. Changes or cancellations are excluded for special executions.

4.3 Ordered goods must be accepted within the specified deadlines. If the deadline is exceeded by one month, Smart Lux will issue an additional invoice for storage costs.

5. Delivery Deadlines

Delivery deadlines are met as far as possible. Claims for compensation due to missed deadlines will not be considered.

6. Dimensions and Design Modifications

If deemed appropriate for order execution, Smart Lux may deviate from sketches, weights, measurement tables, or other specifications.

7. Returns and Samples, Return Form See Point 4

7.1 Returns and samples are accepted freight-free only after prior notification and using a return order issued by us. Only catalog products in their original packaging will be accepted.

7.2 Luminaires modified or damaged by the recipient (e.g., created openings for cables or removal of pre-stamped entries) will be invoiced in all cases.

7.3 All returns and samples are subject to deductions as per the table on page 4 ("Return Form"). Deductions are calculated based on the net value of the goods. A minimum fee of CHF 20.– will be charged for checks and administrative tasks (excluding sample shipments returned within 30 days in good condition and original packaging).

8. Complaints

Complaints about insufficient or incorrect delivery quantities, as well as potential defects, will only be considered if the recipient communicates them in writing to Smart Lux within seven days of delivery.

9. Warranty

9.1 The warranty varies depending on the product and is communicated in Smart Lux's offer.

9.2 Any other warranty or compensation for damages is excluded. In particular, costs for dismantling, reassembly, or programming of luminaires and devices, as well as other damages not related to construction defects, are not covered.

9.3 No warranty will be recognized for materials modified or repaired by the customer or third parties, or if assembly and operating instructions have not been followed.

9.4 Luminaires and devices manufactured according to customer-provided plans or models are excluded from the warranty. This includes defects attributable to errors in the plans or technical documents provided by the customer.

9.5 If inspection or modification by the high-voltage inspectorate is required for this material, all resulting costs will be borne by the customer.

9.6 Defective products must be returned to Smart Lux, properly packaged and freight-paid, to claim the warranty.

9.7 Lighting installations must be adequately maintained (maintenance schedule) to benefit from the warranty. Specific maintenance operations and their frequency depend on the installation components – luminaires, lamps, and power supplies.

9.8 The warranty covers only product failures resulting from proven material, design, or manufacturing defects, excluding those under point 9.3 in the warranty chapter. For devices and electronic components such as LEDs, the nominal failure rate is 0.2% per 1000 operating hours unless otherwise specified in the product datasheet and user manual.
